Welcome to SetCollab, a platform that helps creatives collaborate on photo and video shoots safely and professionally. By accessing or using our platform, services, or website ("Services"), you agree to comply with and be bound by these Terms of Service. 

We’ve written these terms to help everyone on SetCollab work safely, fairly, and respectfully. Please read them carefully before using our platform.

1. Eligibility

To use SetCollab, you must be at least 18 years old and capable of entering into a legally binding agreement. Use of our services is void where prohibited.

2. Account Registration

When registering for a SetCollab account, you agree to:

• Provide accurate and truthful information

• Keep your login credentials secure

• Be responsible for any activity under your account

3. Platform Use

You agree to use SetCollab only for lawful purposes and in a manner consistent with all applicable local, state, national, and international laws and regulations.

4. User-Generated Content

You retain ownership of the content you upload but grant SetCollab a limited, non-exclusive license to display and distribute it for the purposes of operating the platform.

You are solely responsible for all content you post. SetCollab reserves the right to remove content that violates these Terms, our policies, or applicable laws.

5. Shoot Conduct

By organizing or participating in a shoot through SetCollab, you agree to:

• Maintain professional conduct

• Obtain all necessary model releases and location permissions

• Respect the comfort, safety, and consent of all collaborators

• Accurately disclose the nature of the shoot beforehand

Respect Professional and Legal Content Boundaries:
SetCollab supports creative expression, including artistic nudity and editorial photography. However, explicit content—such as pornography, sexual acts, or solicitation—is strictly prohibited. All users must adhere to community guidelines, local laws, and our Content Standards.

6. Payments and Fees

SetCollab uses third-party providers like Tipalti to process payments. By using these features, you also agree to Tipalti's Acceptable Use Policy. Any fees incurred (e.g. platform, transaction, or premium access) are disclosed prior to confirmation and are non-refundable unless explicitly stated. Payouts are processed after successful shoot confirmation. 

7. Intellectual Property

All platform-related content (excluding User Content) is owned by SetCollab or its licensors. You may not copy, modify, distribute, or use any of it without permission.

8. Privacy

We respect your privacy. Our Privacy Policy explains how we collect and use personal information. By using the platform, you consent to our data practices.

9. Termination

We may suspend or terminate access to the platform at any time, with or without cause, especially in the case of:

• Policy violations

• Illegal activity

• Endangerment of community members

• Breach of these Terms

10. Content Standards & Enforcement

We support art, diversity, and expression — within safe and legal limits

10.1 Allowed Content

SetCollab allows creative work that may include:

• Fashion, swimwear, lingerie, or boudoir photography

• Artistic or implied nude imagery intended for non-sexual, professional, or editorial purposes

Such content must be:

• Clearly tagged and labeled

• Produced and shared with full consent of all involved

• Consistent with artistic, creative, or industry-standard presentation

10.2 Prohibited Content

The following are not permitted on SetCollab under any circumstances:

• Pornographic or explicit sexual content (e.g. visible genitalia, sexual acts, masturbation)

• Escort services or solicitation of sexual services

• Live sex shows or similar adult entertainment services

• Content that is exploitative, non-consensual, or includes minors

• Any material violating Tipalti, DocuSign, or other partner Acceptable Use Policies

10.3 Payment & Legal Compliance

Because SetCollab uses Tipalti for payouts and DocuSign for e-signatures, all content must comply with their Acceptable Use Policies. These prohibit:

• Pornographic material and adult content designed for arousal

• Illegal or unethical solicitation

• Obscene, defamatory, or unlawful materials

Violation may result in:

• Account suspension or termination

• Reporting to appropriate authorities

• Rejection of payout or contract processing

10.4 Enforcement

SetCollab reserves the right to:

• Review flagged content

• Remove any content at our discretion

• Suspend or terminate users violating content rules

• Require identity verification or consent documentation

11. Disclaimers

SetCollab is provided “as is” without warranties of any kind. We do not guarantee uninterrupted or error-free service, nor do we make warranties regarding the safety or outcome of any collaborations.

While SetCollab provides tools for safer shoots, we encourage all creatives to exercise professional judgment and caution on every collaboration.

12. Limitation of Liability

To the extent permitted by law, SetCollab shall not be liable for any indirect, incidental, or consequential damages arising from use of the platform, including but not limited to lost profits, data loss, or personal harm from user interactions.

13. Indemnification

You agree to indemnify and hold harmless SetCollab, its affiliates, and partners from any claims or damages related to your use of the platform, your content, or your violation of these Terms.

14. Modifications

SetCollab reserves the right to modify these Terms at any time. Updates will be posted on our website, and continued use of the platform constitutes acceptance of any changes.

15. Governing Law

These Terms are governed by the laws of the State of Delaware (where SetCollab is incorporated), without regard to conflict of law principles.
